I might suggest dual booting, if your HDD is big enough. This way you still have your old XP install in case you need it. I dual boot Vista Home 32bit and Vista Ultimate 64.

Google:
"xp 32 bit to windows 7 64 bit upgrade"

http://windows.microsoft.com/en-US/windows7/help/upgrading-from-windows-xp-to-windows-7

From what I find, an upgrade from XP 32bit to win7 64 bit won't keep your files and programs. You'd have to back them up. No 32 bit system can be "upgraded" to 64 bit, the new 64 bit will have to be a clean install.

As for dual booting:

Google:
"dual boot xp 32 and windows 7 64"

There are a good number of results for it, this one is from Microsoft's site:

http://answers.microsoft.com/en-us/windows/forum/windows_7-windows_install/dual-boot-xp-pro-32-bit-and-windows-7-64-bit/a117f160-4686-4860-be90-c5ba1048347b

So your options are to backup your data, then copy it back to a clean install of win7, or dual boot and copy the data to the 64bit side of stuff.
